These Terms and Conditions of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Kodifly Limited (“Sifu”, “we”, “us”, or “our”), the operator of the Sifu platform (“Platform” or “Services”).
By accessing, registering for, or using the Platform in any way, you confirm that (a) you have read, understood, and agree to be bound by these Terms; (b) you have the authority to bind yourself and, where applicable, your organisation to these Terms; and (c) you meet all eligibility requirements set out in Section 3.
If you do not agree to these Terms, you must cease using the Platform immediately.
- “Account” means the user account you create to access the Services.
- “Authorised Users” means employees, contractors, or agents of an Organisation who are granted access to the Platform.
- “Content” means all data, text, images, videos, documents, connected or imported communications, AI prompts, outputs, reports and other materials submitted to, processed by or generated through the Platform.
- “Organisation” means the company or legal entity on whose behalf an Authorised User accesses the Platform.
- “Platform” means the Sifu web application, mobile application, APIs, and related services operated by Kodifly Limited.
- “Subscription” means the paid or free-tier licence granted to access the Platform under a chosen plan.
- “User Content” means any Content submitted to the Platform by or on behalf of a User or Organisation, including project records, site data, photographs, documents and connected or imported communications.
3.1 Eligibility
You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use the Platform. The Platform is intended for business and professional use within the construction industry and related sectors.
3.2 Account Registration
You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account information.
- Keep your login credentials confidential and not share them with third parties.
- Notify us immediately at info@kodifly.com if you suspect unauthorised access to your Account.
We reserve the right to suspend or terminate Accounts that contain materially false or misleading information.
3.3 Organisation Accounts
Where you register on behalf of an Organisation, you represent and warrant that you have the authority to bind that Organisation to these Terms. The Organisation assumes all obligations of the Account and remains liable for the acts and omissions of its Authorised Users.
Sifu is a construction project management and field intelligence platform that provides, among other features:
- Project and task management tools for construction project managers and field teams.
- AI-assisted guidance, coaching, reporting and decision-support for construction workflows, including project Q&A, summaries and suggested actions.
- Field data collection, job-site analytics, and reporting.
- Document and photo management for project records.
- Team communication and collaboration features, including connected-message ingestion and analysis where enabled by the User or Organisation.
We reserve the right to modify, enhance, or discontinue any feature of the Platform from time to time, with or without notice, subject to Section 16.
5.1 Plans
The Platform is offered under various subscription tiers, including free and paid plans. Details of current plans, features, and pricing are published on our website and may be updated from time to time.
5.2 Billing
Paid Subscriptions are billed in advance on a monthly or annual basis. All fees are stated exclusive of applicable taxes, levies, or duties (including GST, VAT, or equivalent) unless otherwise stated. You are responsible for all applicable taxes.
5.3 Payment Authorisation
By providing payment information, you authorise us (or our payment processors) to charge the applicable fees to your payment method. You agree to maintain a valid payment method on file.
5.4 Renewals and Cancellations
Subscriptions renew automatically unless cancelled at least 48 hours before the renewal date through your Account settings or by contacting info@kodifly.com. Cancellations take effect at the end of the then-current billing period, except as required by applicable law.
5.5 Refunds
Except as required by applicable law, all fees are non-refundable. We may, at our sole discretion, issue credits or refunds in exceptional circumstances.
5.6 Price Changes
We may modify pricing at any time. We will provide at least 30 days’ advance notice of price increases to existing subscribers via the email address on your Account. Continued use after the effective date constitutes acceptance.
You agree not to use the Platform to:
- Violate any applicable law, regulation, or third-party right, or third-party platform terms.
- Upload, transmit, or store content that is unlawful, defamatory, obscene, fraudulent, or violates the rights of others.
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Platform.
- Introduce malware, viruses, or any other harmful code.
- Attempt to gain unauthorised access to the Platform or its underlying systems.
- Use automated means (bots, scrapers, crawlers) to access the Platform without our express written consent.
- Misrepresent your identity or affiliation.
- Use the Platform in a manner that imposes an unreasonable burden on our infrastructure.
- Sublicense, resell, or commercially exploit the Platform without our prior written consent.
We reserve the right to investigate and, where appropriate, refer suspected violations to law enforcement authorities.
7.1 Ownership
You retain all ownership rights in your User Content. By uploading or submitting User Content to the Platform, you grant us a non-exclusive, worldwide, royalty-free licence to host, store, process, copy, display, transmit, analyse and otherwise use User Content as necessary or reasonably useful to operate, provide, secure, support, troubleshoot, develop and improve the Services, including to generate outputs requested through the Platform. We may also use aggregated or de-identified data derived from use of the Services for analytics, benchmarking, product improvement and business purposes.
7.2 Responsibility
You are solely responsible for your User Content and the consequences of submitting or sharing it. You represent and warrant that: (a) you own or have the necessary rights, permissions and authority to submit User Content through the Platform; (b) your User Content does not infringe any third-party intellectual property, privacy, confidentiality, employment or other rights; and (c) your User Content complies with all applicable laws and third-party terms.
7.3 Removal
We reserve the right (but have no obligation) to remove User Content that we reasonably believe violates these Terms or applicable law, after giving reasonable notice where practicable.
7.4 Connected and Imported Communications
If you connect, authorise, import, paste or upload communications from WhatsApp or any other third-party messaging service, including through automated integrations, APIs, webhooks or similar technical connections, you are responsible for ensuring that such use is lawful, authorised and consistent with any applicable third-party terms, workplace policies and notices to relevant individuals. We are not responsible for any unauthorised collection, connection, ingestion, import or use of such communications by you or your Organisation.
8.1 Our IP
All intellectual property rights in the Platform, its underlying technology, software, algorithms, AI models, trademarks, trade names, logos, and documentation are owned by Kodifly Limited or its licensors. Nothing in these Terms transfers any ownership of our intellectual property to you. We may use aggregated or de-identified data derived from use of the Services for analytics, benchmarking, product improvement and business purposes. Subject to these Terms and our underlying rights in the Platform, you may use AI outputs generated from your User Content for your internal business purposes.
8.2 Licence to Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform during your Subscription term solely for your internal business purposes.
8.3 Feedback
If you provide suggestions, feedback, or ideas regarding the Platform, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them without restriction or compensation.
Each party agrees to keep confidential any non-public information of the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. Confidentiality obligations do not apply to information that: (a) is or becomes publicly known through no breach by the receiving party; (b) was rightfully known before receipt; (c) is independently developed without use of confidential information; or (d) is required to be disclosed by law or court order, provided that the disclosing party gives prompt notice where legally permissible.
The collection and processing of personal data in connection with the Services is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you acknowledge that you have read and understood the Privacy Policy.
Where you or your Organisation submits personal data relating to third parties including message participants, you are responsible for providing any required notices and ensuring a valid legal basis for doing so.
The Platform may integrate with or link to third-party services, applications, or websites. We are not responsible for the content, functionality, privacy practices, or security of any third-party service. Your use of third-party services is governed by their respective terms and policies.
We use third-party service providers, including authentication infrastructure and messaging integrations providers such as Supabase. By using the Platform, you acknowledge that authentication-related data, connected communications and other relevant service data may be processed by our third-party service providers in accordance with our arrangements with them and applicable law.
We do not warrant that: (a) the Platform will meet your specific requirements; (b) the Platform will be available at all times or free from errors, security vulnerabilities or data loss; (c) any AI-generated output, guidance, recommendation, report, risk flag or summary will be accurate, complete, current or suitable for your specific circumstances.
AI features are provided for informational and workflow support only and are not a substitute for professional, engineering, safety, compliance, legal or other specialist advice. You are responsible for reviewing and validating outputs, applying professional judgment, and ensuring that AI-generated outputs are not relied on as the sole basis for site, safety, commercial or compliance decisions.
Some jurisdictions do not allow the exclusion of implied warranties. To the extent such laws apply, the above exclusions apply only to the extent permitted by the applicable law.

Nothing in these Terms excludes or limits liability to the extent such liability cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
You agree to defend, indemnify, and hold harmless Kodifly Limited, its affiliates, officers, directors, employees, agents, contractors, service providers and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your or your Authorised Users’ use of the Platform; (b) your User Content, including connected or imported communications, project records, site data and third-party personal data; (c) your breach of these Terms; (d) your violation of any applicable law, third-party rights, third-party platform terms or workplace policies; (e) any allegation that User Content infringes or misappropriates any intellectual property, privacy, confidentiality, employment or other rights; or (f) your reliance on Platform outputs without appropriate review, validation or professional judgment.
15.1 Term
These Terms commence on the date you first access the Platform and continue until terminated.
15.2 Termination by You
You may terminate your Account at any time by following the account deletion process in your Account settings or by contacting us at info@kodifly.com.
15.3 Termination by Us
We may suspend or terminate your Account with immediate effect if: (a) you breach these Terms; (b) we are required to do so by law; (c) we discontinue the Platform; or (d) your actions create legal or reputational risk for us. Where reasonably practicable, we will give prior notice.
15.4 Effect of Termination
Upon termination: (a) all licences granted to you immediately cease; (b) you must stop using the Platform; (c) we may delete your Account and User Content after a reasonable data retention period as described in the Privacy Policy, subject to applicable law and any express written agreement with us; (d) provisions that by their nature survive termination (including Sections 7, 8, 9, 10, 12, 13, 14, and 17) will remain in force.
We may update these Terms from time to time. For material changes, we will provide at least 30 days’ prior notice via the email address associated with your Account or via a prominent notice on the Platform. Your continued use of the Platform after the effective date of revised Terms constitutes acceptance. If you do not agree to the revised Terms, you must stop using the Platform.
17.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law principles.
17.2 Dispute Resolution
In the event of a dispute, the parties shall first attempt to resolve it through good-faith negotiation for a period of 30 days. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region.
17.3 MENA Users
Users accessing the Platform from the United Arab Emirates, Saudi Arabia, Qatar, or other MENA jurisdictions acknowledge that mandatory local laws may apply despite these Terms. Where local mandatory law confers rights or obligations that cannot be waived by contract, those rights and obligations are preserved.
17.4 SEA Users
Users in Singapore, Malaysia, Thailand, the Philippines, and Indonesia acknowledge that applicable local mandatory law may apply where it grants rights or imposes obligations that cannot be contractually waived.
18.1 Entire Agreement
These Terms (together with the Privacy Policy and any order forms or Subscription agreements) constitute the entire agreement between you and us regarding the Platform and supersede all prior agreements and understandings.
18.2 Severability
If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force.
18.3 Waiver
No waiver of any provision of these Terms shall be effective unless in writing. Failure to enforce any provision shall not constitute a waiver of our right to enforce it subsequently.
18.4 Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or in connection with a merger, acquisition, corporate reorganisation, financing, or sale of assets, with notice where required by applicable law.
18.5 Force Majeure
Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, acts of government, pandemics, or internet outages.
18.6 Language
These Terms are written in English. In the event of any discrepancy between an English version and any translated version, the English version shall prevail.
